Terms of Service
These Terms govern your access to and use of the Layerr website and the Layerr software. Please read them carefully.

1. Definitions
1.1“Aspyre Labs,” “we,” “us,” or “our” means Aspyre Labs LLC, a Wyoming limited liability company with a registered address at 30 N Gould St #Ste R, Sheridan, WY 82801, USA, the operator of the Layerr website and the provider of the Layerr software.
1.2“Layerr,” the “Software,” or the “Service” means the self-hosted Layerr orchestration runtime, the Layerr website at layerr.app, and any related applications, documentation, and services we make available.
1.3“You” or “your” means the individual or entity that accesses or uses the Service.
1.4“Provider” means a third-party large language model or inference provider (for example, Anthropic, OpenAI, Google, OpenRouter, or a local runtime) that you configure for use with the Software.
2. Acceptance and eligibility
2.1By accessing or using the Service, you agree to be bound by these Terms and by our Privacy Policy and Refund Policy, which are incorporated by reference. If you do not agree, do not use the Service.
2.2You must be at least 18 years old, or the age of majority in your jurisdiction, and able to form a binding contract. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.
3. Accounts
3.1Some features require an account. You agree to provide accurate information and to keep it current.
3.2You are responsible for safeguarding your account credentials and for all activity under your account. Notify us promptly at [email protected] if you suspect unauthorized use.
4. Description of the Service
4.1Layerr is a self-hosted orchestration runtime that routes prompts to the Providers you configure. You install and operate the Software on your own infrastructure.
4.2The website provides information about Layerr and lets you sign up for the beta, manage interest in a plan, and contact us.
4.3We may modify, suspend, or discontinue any part of the Service at any time. We are not liable to you or any third party for doing so.
5. Alpha and beta status
5.1Layerr is currently pre-release software (v0.8.0-alpha). It is provided for evaluation and early use. It may contain bugs, may change significantly, and may not operate without interruption or error.
5.2You should not rely on the Software for production workloads where a failure could cause loss of data, revenue, or other serious harm. You use pre-release features at your own risk.
6. License grant
6.1Subject to these Terms, Aspyre Labs grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to install and use the Software for your internal purposes for the duration of your subscription or, for the free tier, for as long as we make it available.
6.2The Software is licensed, not sold. Layerr is proprietary. Except for the rights expressly granted here, Aspyre Labs reserves all right, title, and interest in and to the Software.
7. Acceptable use and restrictions
7.1You agree not to:
- copy, modify, reverse engineer, decompile, or create derivative works of the Software, except to the extent this restriction is prohibited by applicable law;
- remove or alter any proprietary notices, or attempt to circumvent license, security, or access controls;
- resell, rent, sublicense, or offer the Software as a service to third parties without our written permission;
- use the Service to violate any law, infringe any third-party right, or transmit unlawful, harmful, or infringing content; or
- use the Service in a way that could disable, overburden, or impair it, or interfere with any other party's use.
8. Third-party Providers and your API keys
8.1The Software is self-hosted. Your prompts, responses, and Provider API keys stay on your infrastructure. We do not have access to them. See the security page for details.
8.2You are solely responsible for your relationships with, and obligations to, your Providers, including all usage fees they charge. Your use of any Provider is governed by that Provider's own terms. We are not a party to those arrangements and are not responsible for Provider availability, output, or charges.
8.3You are responsible for securing your own infrastructure, API keys, and data.
9. Fees, billing, and renewal
9.1Paid plans are billed in advance on a recurring basis (monthly or annually, as you select). Prices are shown on our pricing page and may change on a going-forward basis.
9.2Payments are processed by our payment provider and merchant of record, Paddle.com Market Ltd (“Paddle”). By purchasing a paid plan, you also agree to Paddle's buyer terms. Paddle, as merchant of record, is responsible for collecting payment and applicable taxes.
9.3Subscriptions renew automatically at the end of each billing period unless you cancel before the renewal date. You authorize recurring charges until you cancel.
9.4Refunds are governed by our Refund Policy.
10. Intellectual property
10.1The Software, the website, and all associated content, trademarks, and logos - including “Layerr” - are owned by or licensed to Aspyre Labs and are protected by intellectual property laws. © 2026 Layerr™. All rights reserved.
10.2If you provide feedback or suggestions, you grant us a perpetual, irrevocable, royalty-free license to use them without restriction or obligation to you.
11. Disclaimers
11.1THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
11.2We do not warrant that the Service will be uninterrupted, secure, error-free, or that any defects will be corrected, or that routing decisions will produce any particular result, accuracy, or cost saving.
12. Limitation of liability
12.1TO THE MAXIMUM EXTENT PERMITTED BY LAW, ASPYRE LABS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.
12.2OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD 100.
13. Indemnification
13.1You agree to indemnify and hold harmless Aspyre Labs and its affiliates, officers, and employees from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Service, your content or data, your use of any Provider, or your breach of these Terms.
14. Term and termination
14.1These Terms apply while you use the Service. You may stop using the Service at any time.
14.2We may suspend or terminate your access at any time if you breach these Terms or if we discontinue the Service. On termination, the license in Section 6 ends and you must stop using the Software. Sections that by their nature should survive - including Sections 8, 10, 11, 12, 13, and 16 - will survive termination.
15. Changes to these Terms
15.1We may update these Terms from time to time. If we make material changes, we will update this page and revise the “Last updated” date. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
16. Governing law and disputes
16.1These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflict-of-law principles. You and Aspyre Labs submit to the exclusive jurisdiction of the state and federal courts located in Wyoming, USA for the resolution of any dispute arising out of or relating to these Terms or the Service.
